Legal Notice

By accessing the websites and apps (hereinafter collectively referred to as the "VZ website") of the VZ Group (hereinafter referred to as "VZ"), Users declare that they have understood and acknowledged this legal notice.

This legal notice and all information on the VZ website may be changed at any time without prior notice. If Users do not agree with or do not understand any of the following provisions, they must refrain from accessing the VZ website.

1 Access Restrictions

The VZ website is intended exclusively for Users who reside or have their registered office in Switzerland. In particular, the VZ website is not intended for Users who are subject to a legal system that prohibits publication of or access to the VZ website based on their nationality, place of residence or registered office, or for other reasons. Users to whom such restrictions apply are expressly prohibited from accessing the VZ website. This applies specifically to Users who are nationals of or reside in the USA ("US persons").

2. No Offer and No Advice

The information contained on the VZ website constitutes advertising pursuant to Art. 68 FinSA. If a key information document has been prepared for the financial instruments indicated, it may be obtained at https://kurse.vermoegenszentrum.ch. The document may also list financial instruments that can only be purchased by qualified investors in accordance with the Federal Act on Collective Investment Schemes (CISA). The opinions and assessments expressed on the VZ website reflect the view of VZ at the time of publication and do not constitute individual investment, legal or tax advice. Users do not become customers of VZ merely by accessing the VZ website.

3. No Guarantee

VZ complies with the conventional professional duty of care when compiling and displaying the content of the VZ website and when transmitting data. However, VZ makes no representation or warranty that the information on the VZ website is up to date, correct or complete. VZ makes no representation or warranty that access to the VZ website or individual functions on the VZ website will run without interruptions or errors, that errors will be eliminated or that no viruses or other malware will be transmitted when accessing the VZ website.

4. No Liability

To the extent permitted by law, VZ disclaims any liability arising from access to the VZ website or from the use of the information provided therein.

5. All Intellectual Property Rights Reserved

All information on the VZ website may be protected by copyright or other laws. This information may be used freely but solely for private purposes. No element or information on the VZ website is designed in such a way as to grant a licence or a right to use a registered trademark, logo, image or other content protected by intellectual property law. The written consent of VZ is required for any use other than private use.

6. Personal Data

If Users transmit personal data (e.g. names, addresses, telephone numbers or e-mail addresses) to VZ via the VZ website, via a form or otherwise, VZ may use this data for purposes including marketing purposes. This also includes contacting Users later to inform them about services and news. VZ may send notices (e.g. invitations, appointment reminders, registration confirmations or newsletters) in unencrypted form. Any personal data transmitted by Users may be disclosed within the VZ Group. 7. Security of Data Transmission and Electronic Communication

When Users visit the VZ website, their data is transmitted via an open network accessible to anyone. Data that Users transmit to VZ via electronic media (e.g. contact forms or document uploads) or have VZ transmit to them (e.g. via e-mail or SMS) is generally not encrypted. This involves the following risks in particular:

  • Data may be intercepted and viewed by unauthorised third parties.
  • Even if the sender and the recipient are located in Switzerland, data may be transferred uncontrolled abroad, where the data is no longer subject to the protection of Swiss law but to the protection of the relevant foreign law.
  • Electronic messages may contain viruses or other harmful components ("malware"), which may result in various types of damage. In order to combat viruses, it is advisable to use up-to-date browser versions and install continuously updated antivirus software.
  • The identity of the sender (e.g. e-mail) as well as the content of the message may be faked or otherwise manipulated by unauthorised third parties. E-mails of dubious origin and unexpected e-mail attachments should not be opened.
  • Even in the case of encrypted transmission, the sender and the recipient remain unencrypted. It therefore cannot be ruled out that unauthorised third parties may intercept and view the transmitted data or draw conclusions about a business relationship.

By accessing the VZ website, Users acknowledge the above-mentioned risks and release VZ from its confidentiality obligations to the corresponding extent.

Unless expressly stated otherwise, VZ does not accept orders or instructions of any kind that are placed via e-mail or other electronic message transmission systems.

8. Online Tracking

When using the VZ website (including newsletters and other digital offerings), data is generated that is stored in logs (particularly technical data). In addition, cookies and similar techniques (e.g. pixel tags or fingerprints) may be used to recognise the User and track them over multiple visits. A cookie is a small text file that is transmitted between the server and the User's system and makes it possible to recognise a specific device or browser.

VZ uses online tracking to ensure the functionality of the VZ website and to be able to carry out evaluations and personalisation, in particular to carry out targeted advertising.

Users can deactivate the use of cookies or alternative techniques in their browser settings and delete existing cookies at any time. If they do so, not all functions of the VZ website may be fully available. Users can find further information on this on the help pages of their browser (usually under "Privacy").

Tracking data generally does not contain any references to the person concerned. However, VZ may merge this data with data already available, for example from an existing User account at VZ or with third-party providers. As a result, it may be possible to determine the identity of the person concerned. Information on how VZ handles such personal data may be found in VZ's Privacy Policy at https://www.vermoegenszentrum.ch/en/privacy-policy.

VZ may also use social media plugins. Social media plugins are software components that create a connection between the Users' visit to the VZ website and a third-party provider. Social media plugins inform the third-party provider that the Users have visited the VZ website and may send the third-party provider cookies that the latter has previously placed on the Users' browser. Information on how third-party providers use Users' personal data collected via their social media plug-ins can be found in those providers’ respective privacy policies.

Furthermore, VZ's own tools and the services of third-party providers (which may in turn use cookies) may be used on the VZ website and otherwise in VZ’s digital materials. A list of third-party services used can be found at https://www.vermoegenszentrum.ch/third-party-provider.

9. Additional Terms for User Accounts

A User account is required in order to use some of the offers on the VZ website. This account is automatically created when a VZ Financial Portal Agreement is concluded as part of a business relationship with VZ. When logging in to offers on the VZ website, Users can use the VZ login ID for the VZ Financial Portal and their password that they have defined for the VZ Financial Portal.

If Users do not have a contract for the VZ Financial Portal, they can re-register. Users can thus create a User account, receive a login ID and protect that User account with a password of their choice.

VZ reserves the right to exchange or adapt the credentials at any time and to change the services offered without prior notice.

Anyone using the credentials will be deemed by VZ to be a correctly identified person. This will also apply in the event of fraudulent or improper use of the credentials, provided that VZ has exercised the degree of care customary in the business. Users are responsible for all actions (including actions by authorised persons) that take place on the basis of the aforementioned verification of credentials. In particular, all instructions, orders and notices received by VZ in this manner shall be deemed to have been entered and authorised by the Users.

Through their User account, Users have a secure communication channel for the mutual exchange of information between themselves and VZ. The User acknowledges that the User account will not be available for payment or stock market orders or for time-critical notifications in general. For these transactions, Users must use the standard functions or the channels provided for that purpose.

The data received via the User account and sent by VZ shall be encrypted in so far as permitted by the technical processes applicable in each case. However, certain technical features of the connection (e.g. IP addresses) cannot be encrypted. The sender and recipient can thus be identified via their IP addresses. As a result, unauthorised third parties may be able to infer a business relationship even in the event of encrypted transmission.

Access to the User account is via the internet and thus via an open network accessible to anyone. Data may be transmitted across borders, even if the sender and the recipient are located in Switzerland. VZ cannot exert any influence over this transmission of data.

Users can find out about certain events by activating electronic messages (e.g. e-mail, SMS). By design, these notifications are sent via unencrypted communication channels and are not secured against access by unauthorised third parties.

By using the User account, Users accept the above-referenced risks and release VZ from its duties of confidentiality to the corresponding extent. Users acknowledge that their data abroad is no longer subject to protection under Swiss law but to protection under the relevant foreign law.

Users are obliged to ensure that their credentials remain secret and to protect them against misuse by unauthorised third parties. The password must not consist of obvious, easily identifiable data (e.g. dates of birth, telephone numbers or vehicle registration numbers). After passwords have been changed, they may not be recorded, stored unprotected on the User's end device (e.g. computer or mobile phone) or disclosed to unauthorised third parties. E-mails, text messages or other messages that allegedly originate from VZ and request the disclosure of a User’s credentials (e.g. by entering the contract number, password or credentials on websites that can be accessed via a link) must not be responded to. The User must inform VZ of any such messages immediately.

If a User suspects that unauthorised third parties have gained knowledge of their credentials, they must immediately block access and contact VZ in order to enable further appropriate action to be taken.

Users must take the necessary security precautions for their end devices (e.g. computers or mobile phones) and the associated application programs and protect them adequately against unauthorised access or manipulation. Users must promptly perform software and security updates to their operating system and to all application programs and apps.

Users must familiarise themselves with the necessary security precautions and minimise potential security risks arising from internet use by taking appropriate state-of-the-art protective measures (e.g. antivirus software and firewalls). In particular, Users must take note of the security instructions at https://www.vermoegenszentrum.ch/en/vz-financial-portal-tips-and-instructions#l and observe the corresponding security standards.

VZ may provide Users with a feature for signing selected documents electronically. This feature allows Users to sign documents electronically. Electronic signature encompasses all forms of electronic consent, including but not limited to electronic acceptance and signing. By signing electronically, Users confirm that they agree to the content of a document. Electronically signed documents have the same legal effects as documents signed by hand and constitute original documents.

Users are required to inform any persons authorised by them of the scope of the access authorisation issued and must ensure that they comply with the relevant legal notices.

Any access authorisation granted will remain in force until a written notice of revocation is received by VZ. The revocation of a power of attorney on the User's signature documents deposited with VZ does not automatically result in the revocation of the access authorisation granted. A separate written notice of revocation must be filed with VZ. Any access authorisations granted will not expire in the event of the Users becoming incapacitated, going bankrupt, being declared missing or dying.

VZ may block or permanently deactivate the User account at any time on its own initiative and without stating reasons or giving prior notice. This applies in particular in the event of suspected misuse, imminent risk or non-use.

10. Whistleblowing

Integrity and conduct in accordance with the law and with regulations form the basis for the good reputation of VZ and the trust of its customers, employees and business partners. VZ is therefore reliant on receiving reports of any potential irregularities within its organisation. Employees who make justified reports are protected from sanctions and negative consequences.

VZ has set up an electronic whistleblowing system so that customers, employees, business partners and other third parties can point out possible irregularities if they have any specific suspicions. These may include irregularities, misconduct, possible violations of the law and criminal acts.

11. Applicable Law and Jurisdiction

If any legal relationship has been created between the User and VZ, Swiss law will apply exclusively. The place of performance, the place of debt collection for Users domiciled abroad and the exclusive jurisdiction are vested in the courts at the registered office of VZ. VZ may also enforce its rights at the domicile of the User or before any other competent court. The foregoing is without prejudice to any mandatory legal provisions on jurisdiction.
