Nemetschek confirms guidance, flags impact of HCSS acquisition

Description

(AWP Alliance News) - Nemetschek SE on Tuesday confirmed full-year guidance in light of a recent acquisition, ahead of publishing interim results later this week.

The Munich-based software vendor is due to report second-quarter and first-half earnings on Thursday.

Nemetschek shares rose 5.4% to EUR63.25 on Tuesday afternoon in Frankfurt, having slumped 50% over the past year.

The company backed its previous 2026 outlook for the operating business, which excludes acquisition effects. It provided more details of the expected impact of acquiring Heavy Construction Systems Specialists or HCSS, a deal expected to close later this year.

Nemetschek in April said it was buying the business from Chicago, Illinois-based private equity firm Thoma Bravo LLC. At the time, Nemetschek cited HCSS's 2025 revenue as USD215 million, and said the purchase improves "market opportunity in the highly attractive and strongly growing infrastructure sector".

Reflecting the acquisition, Nemetscheck expects full-year currency-adjusted organic revenue growth to range from 14% to 15%. It sees an earnings before interest, tax, depreciation and amortisation margin between 32% and 33%, but excluding the acquisition, it would have anticipated an Ebitda margin at the upper end of guidance.

After the consolidation of HCSS, an additional currency-adjusted contribution of about 600 basis points to group revenue growth is expected for the full year. Starting from the mid-point of Ebitda margin guidance, dilution of about 150 basis points is expected due to the acquisition, which Nemetschek attributed to the purchase price allocation, to be finalised later this year, plus integration expenses and recurring costs related to a new share-based compensation programme.

It plans to recognise the purchase price allocation over twelve months, with the majority reflected in the first six months. This is expected to reduce HCSS revenue by a mid- to high-twenties million-euro amount in the second half of 2026, with a corresponding Ebitda impact.

"The contribution of the HCSS acquisition in terms of revenue and Ebitda does not yet reflect the full potential," Nemetschek stressed on Tuesday.
