European stock movers in focus:

Lottomatica Group, down 9.0% at EUR22.53, 12-month range EUR18.66-EUR28.29. The Rome-based gaming company has agreed to a deal to merge with Cirsa Enterprises SA. Cirsa is a Terrassa, Spain-based casino and gaming operator. Lottomatica says the deal will be completed through an EU cross-border statutory merger. It will absorb Cirsa, and Lottomatica will remain as the surviving entity. Cirsa shareholders will receive 0.668 of a new Lottomatica share for each Cirsa share. Cirsa is backed by Blackstone Inc, which will own 24% of the enlarged company when the deal goes through. Cirsa shareholders as a whole, so Blackstone included, will own just under a third. Lottomatica shareholders will own just under 68%. Cirsa shareholders will get a EUR1.56 per share dividend before the deal goes through, worth EUR262 million in total. Post-merger, the combined company will return EUR744 million to shareholders. What's more, it plans to return a total of EUR4 billion over the next three years.

Volkswagen, down 2.2% at EUR74.90, 12-month range EUR69.20-EUR109.15. "Existential" matters are hanging over the carmaker, analysts at Citi believe. "This Friday, Sept 4th, the VW supervisory board votes on the next leg of the plan: proposed closures of 7 German plants and a further 50,000 worker reduction vs no change proposed from the unions, and a political 'compromise' from the State of Lower Saxony," Citi says. Citi believes "the choice seems clear", saying that VW will struggle to maintain its market share, or margins at its core offering, without more cost cuts. "We have supported VW since the appointment of Oliver Blume as CEO as we have sensed a willingness to do what needs to be done at VW. That remains the case. However, investors have not shared in any of the improvements as a result of a stream of new (structural) industry headwinds," Citi says.

Ryanair Holdings PLC, up 1.7% at EUR23.12 in Dublin, 12-month range EUR21.12-EUR30.15. The budget carrier cuts its traffic target for the year ending March to 214 million passengers from 216 million to reduce its exposure to unhedged oil prices during the winter months, which are generally less profitable, or even loss-making. Ryanair says it expects fares for short flights to increase "materially" if oil prices remain high, "as some less well-hedged competitors will struggle to maintain capacity or even to survive this coming winter season". Ryanair says the schedule change will reduce losses by a range between EUR70 million and EUR100 million.

Halma PLC, up 0.6% at 3,548.00p in London, 12-month range 3,194.00p-4,902.00p. It is buying a Houston, Texas-based water quality monitoring company for up to USD200 million in cash. Pyxis, founded in 2013, is expected to generate USD39 million in revenue in the financial year ending March 31, 2027. Halma provides "life-saving technology" via Safety, Environmental & Analysis, and Healthcare divisions. It says Pyxis will join Environmental & Analysis but will continue to operate as a standalone business under its existing management team.
