(AWP Alliance News) - Rocket Lab Corp - the Long Beach, California-based aerospace manufacturer and launch services provider - Enters a replacement equity distribution agreement with Deutsche Bank Securities Inc and Wells Fargo Securities LLC. The new agreement replaces Rocket Lab's previous equity distribution agreement from May 20, 2026 and allows the company to offer up to USD1.94 billion of common stock in an "at the market" programme. The ATM provides an aggregate offering amount equal to the remaining unsold amount. Deutsche Bank Securities is a wholly-owned subsidiary of Frankfurt-based Deutsche Bank AG and Wells Fargo Securities is a wholly-owned subsidiary of San Francisco-based Wells Fargo & Co.
The company intends to use all or a portion of the proceeds from the ATM programme to fund cash payments for its proposed acquisition of Iridium Communications Inc, the McLean, Virginia-based satellite communications company. Rocket Lab will use the proceeds to reduce commitments under its senior secured debt bridge facility in the Iridium acquisition. The company notes that the HSR waiting period for its Iridium acquisition has expired, its Federal Communications Commission applications have been filed and it has made the initial filing of its Registration Statement on Form S-4 related to the transaction, which has not yet come into effect.
